Please read these terms carefully before using HotPass.

| "Customer" | An end user who purchases WiFi access from an Agent through the HotPass platform. |
| "Voucher" | A prepaid access code generated by HotPass that grants a Customer internet access for a defined package duration. |
| "Platform Fee" | The percentage of each sale retained by Kishea Technologies as payment for use of the HotPass platform. |
| "Hotspot" | A MikroTik-based WiFi access point registered by an Agent on the HotPass platform. |
| "Device Subscription" | A paid arrangement whereby a specific device is granted internet access without requiring a voucher code, for a defined period. |
HotPass is a software-as-a-service (SaaS) platform that enables Agents to manage WiFi hotspots, generate vouchers, collect payments via Mobile Money, and track revenue. HotPass does not own, operate, or manage any physical hotspot infrastructure. All internet services sold through HotPass are provided by independent Agents using their own equipment and internet connections.
Kishea Technologies is incorporated under the laws of the Republic of Uganda. HotPass is intended for use within Uganda and is designed for the Ugandan market.
To register as an Agent, you must:
Kishea Technologies reserves the right to reject or revoke any Agent registration at its sole discretion, including where registration information is found to be false or misleading.
Each Agent is issued one account, secured by a phone number and a 6-digit PIN. You are responsible for maintaining the confidentiality of your PIN and for all activity that occurs under your account.
Agents are responsible for all actions taken through their account, whether or not authorised by them.
As an Agent, you agree to:
Customers who purchase vouchers or access through an Agent's hotspot acknowledge that:
HotPass facilitates Mobile Money payments via MTN Mobile Money and Airtel Money through licensed third-party payment processors. HotPass reserves the right to change its payment processing partners at any time. By using the payment features, you agree to the terms and conditions of the applicable payment processor.
Platform Fee: Kishea Technologies retains 8% of each voucher sale processed through Mobile Money as a platform service fee. This fee is automatically deducted at the point of sale. Agents receive the remaining 92% credited to their HotPass balance.
Cash Sales: Agents may also sell vouchers and device subscriptions for cash. Cash transactions are recorded in the platform for agent records only and do not pass through the HotPass payment processor. Kishea Technologies does not collect a fee on cash sales.
Failed Payments: If a Mobile Money transaction is declined (e.g., insufficient funds), no voucher is issued and no fee is charged. The Agent and Customer will be notified via WhatsApp where a phone number is available.
Agents may withdraw their available balance to their registered Mobile Money account at any time, subject to:
Agents may whitelist specific device MAC addresses to grant those devices internet access without requiring a voucher code. This feature is intended for devices that cannot access a captive portal (e.g., smart TVs, printers).
HotPass is provided on an "as available" basis. Kishea Technologies will make reasonable efforts to maintain platform uptime but does not guarantee uninterrupted access. Scheduled maintenance will be communicated where possible.
Temporary unavailability of the HotPass platform does not affect an Agent's hotspot infrastructure — vouchers already imported to a MikroTik router will continue to function even if the HotPass servers are temporarily unreachable.
You may not use HotPass to:
Violation of these acceptable use rules may result in immediate account suspension and potential legal action.
All software, code, design, branding, documentation, and platform configuration related to HotPass is the sole property of Kishea Technologies SMC Ltd. No licence to copy, modify, distribute, or create derivative works is granted except as expressly stated in a written agreement.
Agents retain ownership of their own customer data, voucher sales records, and business information hosted on the platform. By using HotPass, you grant Kishea Technologies a non-exclusive licence to process and store this data for the purpose of providing the platform services.
HotPass collects and processes the following categories of data:
This data is used solely to operate the platform. It is not sold to third parties. It may be shared with payment processors as necessary to process transactions.
Customer phone numbers shared with HotPass are used only to send voucher and payment notifications. Agents are responsible for obtaining appropriate consent from their customers before sharing customer data with the platform.
Data is stored on servers in the European Union (Azure) in compliance with applicable data protection standards. Agents and customers may request deletion of their personal data by contacting [email protected].
Kishea Technologies' total liability to any Agent in respect of any claim arising from use of the platform shall not exceed the total platform fees paid by that Agent in the three (3) months preceding the claim.

You agree to indemnify, defend, and hold harmless Kishea Technologies, its directors, officers, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including legal fees) arising from:
By the Agent: You may close your account at any time by contacting support. Upon closure, any remaining balance will be disbursed to your registered Mobile Money account less the applicable withdrawal fee, provided the balance meets the minimum withdrawal threshold.
By Kishea Technologies: We may suspend or terminate your account immediately and without notice if:
Upon termination, your access to the platform will cease. Vouchers already imported to your MikroTik router may remain functional until removed. Kishea Technologies is not responsible for removing those vouchers from your router.
Kishea Technologies may update these Terms at any time. When material changes are made, we will notify Agents via WhatsApp to their registered number and update the "Effective Date" at the top of this page.
Continued use of the HotPass platform after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree with any updated Terms, you must cease using the platform and close your account.
These Terms are governed by the laws of the Republic of Uganda. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days.
If the dispute is not resolved through negotiation, it shall be submitted to mediation under the rules of the Centre for Arbitration and Dispute Resolution (CADER) in Kampala, Uganda. The language of proceedings shall be English.
